Question: Do all legal entities have access to the Beneficial Ownership Information (BOI) registry?
Answer: Most legal entities do not have access to the BOI registry. The access to BOI is limited to only a select few categories of entities. Below is a link to FinCEN’s Access Rule fact sheet, which lists the entities that will have access. FinCEN BOI Access Rule Fact Sheet.
Question: By what date does a reporting company have to submit its beneficial ownership information to FinCEN?
Answer: A reporting company created or registered to do business before Jan. 1, 2024, will have until Jan. 1, 2025, to file its initial beneficial ownership information report. A reporting company created or registered on or after Jan. 1, 2024, and before Jan. 1, 2025, will have 90 calendar days to file its initial report. This 90-day period begins once the reporting company has received actual or public notice of its creation or registration. Reporting companies created on or after Jan. 1, 2025, will have 30 calendar days from receipt of actual or public notice to file their initial report.
